A click-through NDA is a non-disclosure agreement presented as a modal that the recipient must accept before being granted access to a document or data room. The acceptance event is captured with timestamp, IP address, device, and the exact text accepted — providing the audit-grade attribution needed to enforce the agreement.
Click-through NDAs are enforceable in most jurisdictions, especially when paired with: clear acceptance language, an opportunity to read before accepting, and an audit trail that survives the recipient's session. For high-stakes deals, a counter-signed PDF variant is often added as a belt-and-suspenders precaution.
